Terms of Use

These Terms of Use (“Terms”) are a legally binding agreement between you and Sentinel Forge LLC, a Michigan limited liability company (“Sentinel Forge,” “we,” “us,” or “our”). They govern your access to and use of sentinel-forge.ai, app.sentinel-forge.ai, and any Sentinel Forge product, feature, report, evaluation, or service that links to these Terms (collectively, the “Services”).

By accessing or using the Services, creating an account, or clicking to accept these Terms, you agree to them. If you do not agree, do not use the Services.

1. Eligibility and authority

You must be at least 18 years old and legally able to enter into these Terms. If you use the Services for a company, government body, or other organization, you represent that you have authority to bind that organization. In that case, “you” includes the organization.

The Services are intended for professional and business use. They are not directed to children or intended for personal, family, or household decision-making.

2. What Sentinel Forge provides

Sentinel Forge provides public-source transition intelligence and related decision-support tools for defense-technology and dual-use companies, investors, partners, and other authorized users. Features may include public-source search and retrieval, cited research, AI-assisted analysis, transition and requirement signals, notes, reports, briefs, evaluations, and account-based access.

The Services may include preview, pilot, beta, reviewer, or evaluation features. We may add, remove, suspend, or modify features as the Services develop. We do not promise that any particular feature, source, result, or integration will always be available.

3. Additional agreements

Our Privacy Policy explains how we process personal information and is incorporated by reference for notice purposes.

An order form, statement of work, evaluation agreement, nondisclosure agreement, data-processing addendum, or other written agreement signed by Sentinel Forge may contain additional terms. If there is a conflict, the signed agreement controls for its subject matter, followed by these Terms.

4. Accounts and organizational access

You agree to provide accurate account information and keep it current. You are responsible for:

  • safeguarding your credentials and authentication methods;

  • all activity conducted through your account, except activity caused by Sentinel Forge’s breach of these Terms;

  • using the Services only within the access and role assigned to you; and

  • promptly notifying us at legal@sentinel-forge.ai if you suspect unauthorized access or a security incident involving your account.

Do not share individual credentials, allow unauthorized users to access the Services, or attempt to assume another user’s role.

If your account is managed by an organization, its administrators may provision or remove access, manage settings, and view or control organization content and activity as permitted by the organization’s agreement and configuration. Your access may end when your relationship with that organization ends.

5. Permission to use the Services

Subject to these Terms and any applicable order, Sentinel Forge grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable access period for your lawful professional or internal business purposes.

You may use reports and outputs generated for you for lawful internal analysis, planning, presentations, and business decision support. Subject to underlying third-party rights, you may share reasonable excerpts within your organization or with professional advisers and business counterparties who have a legitimate need to receive them. You may not sell, sublicense, publish as a competing database, white-label, or systematically redistribute the Services or substantial portions of their outputs without our written permission.

6. Your content

“User Content” means prompts, queries, files, notes, feedback, instructions, or other material you submit to the Services.

As between you and Sentinel Forge, you retain your rights in User Content. You grant Sentinel Forge and its service providers a worldwide, non-exclusive license to host, copy, transmit, process, display, and create technical or analytical transformations of User Content only as reasonably necessary to:

  • provide, maintain, secure, and support the Services;

  • follow your instructions and generate requested outputs;

  • improve the Services as permitted by our Privacy Policy and any applicable organization agreement, without authorizing a third-party provider to train a general-purpose AI model on User Content unless separately disclosed and permitted;

  • prevent misuse and enforce these Terms; and

  • comply with law.

You represent that you have the rights and authority needed to provide User Content and allow this processing. You are responsible for User Content and for obtaining any notices, permissions, or consents required by law or contract.

You must not submit:

  • classified information;

  • Controlled Unclassified Information (CUI);

  • export-controlled technical data, including data governed by the International Traffic in Arms Regulations or Export Administration Regulations, unless Sentinel Forge has expressly agreed in writing to an authorized handling environment;

  • procurement-sensitive, source-selection, nonpublic government, or restricted government-furnished information;

  • trade secrets or confidential information you are not authorized to disclose;

  • credentials, private keys, access tokens, malware, or exploit code; or

  • sensitive personal information or personal information you are not authorized to process.

The Services are not represented as an authorized system for classified information, CUI, export-controlled technical data, or information requiring a government-specific security authorization.

7. AI-assisted and informational outputs

The Services use automated retrieval, statistical methods, and artificial intelligence. Outputs may be inaccurate, incomplete, outdated, ambiguous, or unsuitable for your purpose. Similar inputs may produce similar or different outputs for different users.

You are responsible for evaluating outputs and verifying material facts against cited documents, primary sources, current regulations, and qualified professionals before acting. Source links, citations, confidence indicators, and summaries are aids, not guarantees.

The Services do not provide legal, investment, financial, accounting, procurement, contracting, export-control, cybersecurity, engineering, or other regulated professional advice. They do not guarantee eligibility, funding, an award, a contract, a transition event, revenue, compliance, or any government or commercial outcome. No output creates an attorney-client, fiduciary, adviser, broker, procurement, or agency relationship.

Do not use an output as the sole basis for a decision that has a legal or similarly significant effect on a person, including employment, credit, housing, insurance, education, benefits, or access to essential services. Maintain meaningful human review appropriate to the consequences of the decision.

8. Public-source and third-party material

The Services may retrieve, quote, summarize, organize, or link to government publications, third-party websites, public records, company materials, and other external content. Third parties retain their rights in that material. Availability through the Services does not grant broader rights than applicable law or the source’s terms permit.

Public sources can contain errors or change without notice. Sentinel Forge does not control third-party content, availability, security, or privacy practices. A citation, link, reference, organization name, agency name, program name, trademark, or logo does not imply affiliation, sponsorship, endorsement, or government approval.

9. Acceptable use

You may not, and may not help another person to:

  • use the Services unlawfully or violate another person’s rights;

  • submit information you do not have the right to use;

  • use the Services for operational targeting, surveillance of individuals, weapons targeting, or decisions intended to cause physical harm;

  • use the Services to discriminate unlawfully, harass, intimidate, deceive, defraud, or impersonate;

  • introduce malicious code; probe, scan, or test vulnerabilities without written authorization; disrupt the Services; or bypass access, rate, safety, or security controls;

  • obtain or attempt to obtain another user’s credentials, content, or account access;

  • scrape, crawl, harvest, download in bulk, or systematically extract data except through an authorized feature or written agreement;

  • reverse engineer, decompile, copy, frame, mirror, or create a derivative of protected Service software except where law expressly permits and the right cannot be waived;

  • use automated means that impose an unreasonable load on the Services;

  • remove ownership, attribution, confidentiality, or source notices;

  • misrepresent an output as verified, complete, or produced or endorsed by a government body; or

  • use the Services or outputs to build or operate a substantially similar competing database, retrieval service, or model without our written permission.

You must comply with applicable trade, sanctions, and export-control laws. You may not use or access the Services if you are prohibited from doing so under applicable law.

We may investigate suspected misuse and cooperate with lawful requests from authorities. Enforcement decisions may include limiting, suspending, or terminating access.

10. Feedback

If you voluntarily provide ideas, suggestions, or feedback about the Services, you grant Sentinel Forge a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation. This does not transfer ownership of User Content or confidential information identified and protected under a separate written agreement.

11. Sentinel Forge intellectual property

Sentinel Forge and its licensors own the Services, including the software, interfaces, designs, workflows, taxonomies, selection and arrangement of content, documentation, branding, and other materials we create, excluding User Content and third-party material.

These Terms do not transfer ownership. Except for the limited permission expressly granted above, all rights are reserved. “Sentinel Forge” and associated names, logos, and marks may not be used without our written permission.

To the extent Sentinel Forge has rights in an output generated specifically in response to your authorized use, we grant you the use rights described in Section 5. Outputs may not be unique, and we do not represent that an output is eligible for intellectual-property protection or free from third-party rights.

12. Copyright concerns

If you believe material available through the Services infringes your copyright, send a notice to legal@sentinel-forge.ai that identifies the protected work, the allegedly infringing material and its location, your contact information, a good-faith statement, a statement under penalty of perjury that the information is accurate and you are authorized to act, and your physical or electronic signature.

We may remove or restrict material and, where appropriate, terminate repeat infringers. A knowingly false notice may create liability.

13. Privacy

Our Privacy Policy describes how we collect, use, and disclose personal information. You agree to use the Services in a manner that allows Sentinel Forge and its providers to process User Content and account information as described in that Policy and any applicable organization agreement.

If you use the Services to process personal information on behalf of another party, you are responsible for having a lawful basis, providing required notices, honoring applicable rights, and entering any required data-processing terms.

14. Third-party services

The Services may depend on or interoperate with third-party services. Your use of a third-party service may be governed by separate terms and privacy policies. Sentinel Forge is not responsible for a third party’s acts, omissions, content, or service availability. We may change providers or integrations as the Services evolve.

15. Fees and paid services

You will not be charged unless you agree to an order or checkout that states the price and payment terms. For paid Services, you agree to pay the stated fees and applicable taxes. Subscription length, usage limits, invoicing, renewal, cancellation, refunds, and any service levels will be stated in the applicable order or checkout terms.

Unless an order states otherwise, fees are quoted in U.S. dollars and are nonrefundable except where required by law. We may suspend paid access for overdue undisputed amounts after reasonable notice.

16. Evaluations, previews, and beta features

Evaluation, reviewer, preview, pilot, and beta access may be limited, modified, or withdrawn at any time. These features may contain errors, undergo breaking changes, and be subject to additional limits. Unless a signed agreement says otherwise, they are provided without a service-level commitment, support commitment, or obligation to preserve data.

Do not use a preview or beta feature for production-critical decisions or submit information requiring heightened confidentiality, availability, or regulatory controls.

17. Suspension and termination

You may stop using the Services at any time. You may request account closure by contacting legal@sentinel-forge.ai, subject to any organization agreement and legal retention requirements.

We may limit, suspend, or terminate access if we reasonably believe:

  • you violated these Terms or another applicable agreement;

  • your use creates a security, legal, operational, or third-party risk;

  • suspension is required by law or a provider; or

  • a free, evaluation, preview, or beta offering has ended.

When practical, we will provide notice and an opportunity to address the issue, but we may act immediately to prevent harm or comply with law.

Upon termination, your right to use the Services ends. Sections that by their nature should survive will survive, including those concerning ownership, feedback, output limitations, disclaimers, liability, indemnity, dispute terms, and general provisions. Treatment of personal information after termination is described in the Privacy Policy and any applicable written agreement.

18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUTS, SOURCES, AND BETA FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SENTINEL FORGE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS; THAT DATA WILL NEVER BE LOST; THAT A SOURCE WILL REMAIN AVAILABLE; OR THAT AN OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, UNIQUE, OR SUITABLE FOR A PARTICULAR DECISION.

Some jurisdictions do not allow certain warranty exclusions, so portions of this Section may not apply to you. Nothing in these Terms limits a non-waivable statutory right.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENTINEL FORGE AND ITS MEMBERS, MANAGERS, OFFICERS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, USE, OR DATA, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF SENTINEL FORGE AND THE OTHER SENTINEL FORGE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID SENTINEL FORGE FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

These limitations apply regardless of the theory of liability and to the extent permitted even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be excluded or limited, including liability for fraud, willful misconduct, or other liability made non-waivable by applicable law.

20. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Sentinel Forge and its members, managers, officers, contractors, licensors, and service providers from third-party claims, damages, judgments, losses, liabilities, costs, and reasonable attorneys’ fees arising from:

  • your User Content;

  • your unlawful or unauthorized use of the Services or outputs;

  • your violation of these Terms; or

  • your violation of another person’s rights or applicable law.

We will provide reasonable notice of an indemnified claim and reasonable cooperation at your expense. You may control the defense with counsel reasonably acceptable to us, but you may not settle a claim in a manner that admits fault by Sentinel Forge, imposes an obligation on Sentinel Forge, or fails to fully release Sentinel Forge without our written consent.

This Section does not require a consumer to indemnify Sentinel Forge where prohibited by applicable law.

21. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services must be brought in a state or federal court located in Michigan, and each party consents to the personal jurisdiction and venue of those courts.

Before filing a claim, each party agrees to send written notice describing the dispute and requested relief and to attempt in good faith for 30 days to resolve it informally. Notices to Sentinel Forge must be sent to legal@sentinel-forge.ai. This informal process does not prevent either party from seeking urgent injunctive relief or filing in time to preserve a claim.

These Terms do not require arbitration and do not waive the right to participate in a class action. If you are a consumer in a jurisdiction with mandatory consumer protections, you retain any rights that cannot lawfully be waived, including any right to bring a claim in your home jurisdiction.

22. Changes to the Services or these Terms

We may update the Services and these Terms. The revised Terms will state a new “Last updated” date. If a change materially reduces your rights or increases your obligations, we will provide reasonable additional notice when required by law. Changes apply prospectively from their effective date.

If you continue to use the Services after revised Terms take effect, you accept the revised Terms. If you do not agree, stop using the Services. A signed agreement may provide different change procedures for paid Services.

23. Electronic communications and notices

You consent to receive agreements, notices, and other communications electronically, including by email, within the Services, or by posting to the Services, to the extent permitted by law. You are responsible for keeping your contact information current.

Formal legal notices to Sentinel Forge must be sent to legal@sentinel-forge.ai and must include your name, organization, contact information, and a reasonably detailed description of the matter. This does not replace any method of service required by law.

24. General provisions

  • Entire agreement. These Terms and any applicable signed agreement constitute the entire agreement concerning their subject matter and supersede prior or contemporaneous discussions on that subject.

  • Assignment. You may not assign these Terms without our written consent. Sentinel Forge may assign them in connection with a merger, reorganization, financing, sale of assets, or by operation of law. Any other assignment is subject to applicable law.

  • Severability. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective.

  • No waiver. Failure to enforce a provision is not a waiver.

  • No agency or third-party beneficiaries. These Terms do not create a partnership, joint venture, fiduciary, employment, procurement, lobbying, or agency relationship. No third party has rights under these Terms except as expressly stated.

  • Force majeure. Sentinel Forge is not responsible for delay or failure caused by events beyond its reasonable control.

  • Headings. Headings are for convenience and do not affect interpretation.
